Our objective is to improve financial clarity, awareness, structure, and decision quality.

3. Professional Scope & Limitations

Our services are based on information provided by the client, available documentation, and stated goals and assumptions. KEEL exercises professional judgment in good faith but does not guarantee income creation, profitability, business growth, debt elimination, investment returns, lending approval, or any specific financial outcome. All projections and scenarios are estimates intended for planning and decision-making only.

4. No Regulated Financial, Legal, or Tax Advice

KEEL’s services are strategic and advisory in nature and should not be interpreted as legal, tax, investment, audit, brokerage, lending, or other regulated financial advisory services unless expressly stated in a separate written agreement. Clients remain responsible for consulting appropriately licensed professionals where required.

5. Client Responsibility

Clients are responsible for providing complete and accurate information, requested documentation, participating in scheduled sessions, and communicating relevant updates. KEEL is not responsible for conclusions or outcomes resulting from incomplete, inaccurate, or withheld information.

6. Decision Responsibility

All decisions remain the sole responsibility of the client. KEEL does not make decisions on behalf of clients, implement decisions unless separately agreed, or assume responsibility for the results of those decisions.

7. No Guarantee of Outcomes

Business and financial outcomes depend on many factors beyond KEEL’s control, including market conditions, economic changes, operational execution, lender decisions, and other external factors. Recommendations are intended to support better decision-making and are not guarantees of future results.

8. Website Use

This website is provided for informational purposes only. Its use does not create a client relationship or constitute professional advice. You agree not to misuse the website, submit false information, or reproduce its content without permission. Your use of this website is also governed by KEEL’s Privacy Policy.

9. Client Engagement

A client relationship exists only after KEEL accepts the engagement, the scope is agreed, required documentation is provided, and applicable payment terms are satisfied. KEEL reserves the right to decline engagements.

10. Scope of Work

Services are limited to the scope described in proposals, agreements, booking descriptions, or other written communications. Additional work may require a revised agreement and additional fees.

11. Payments, Scheduling & Cancellations

Payment terms are defined in the applicable agreement. Unless otherwise stated, payment may be required before work begins. Reserved time and completed analysis are billable. Completed work is non-refundable. KEEL may pause or terminate services for non-payment, non-responsiveness, or failure to provide requested information.

12. Communication, Delays & Termination

Clients are expected to maintain reasonable communication. If a client becomes non-responsive for fourteen (14) consecutive days, KEEL may pause the engagement. Continued non-response after follow-up attempts may result in termination. Fees for work already performed remain non-refundable.

13. Force Majeure

KEEL is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, power or internet outages, government actions, public health emergencies, labor disputes, acts of war or terrorism, civil unrest, or failures of third-party service providers. Deadlines may be extended accordingly.

14. Confidentiality

KEEL treats client information as confidential and will not disclose it except with client consent, where required by law, to trusted service providers under confidentiality obligations, or to protect legal rights. Confidentiality does not apply to information that is publicly available or independently obtained.

15. Technology & AI-Assisted Tools

KEEL may use secure technology tools, including artificial intelligence, to organize information, summarize documents, identify patterns, or support internal analysis. Where reasonably practicable, personally identifiable information is removed or anonymized before processing. AI supports—but does not replace—professional judgment. All analyses and recommendations are reviewed by KEEL before being shared with clients.

16. Intellectual Property

All KEEL frameworks, methodologies, documents, written materials, structures, and processes remain the intellectual property of KEEL unless otherwise agreed in writing. Clients may use deliverables for their own internal purposes only.

17. Third-Party Services

KEEL may use third-party providers for booking, payments, communications, or website functionality. KEEL is not responsible for the performance, availability, or privacy practices of those third-party services.

18. Limitation of Liability

To the fullest extent permitted by law, KEEL is not liable for indirect, consequential, incidental, or special damages, including lost profits, business interruption, or investment losses. Clients remain responsible for their own decisions and outcomes.

19. Indemnification

You agree to indemnify and hold KEEL harmless from claims arising from your decisions, inaccurate information you provide, misuse of services, or violation of these Terms.

20. No Warranties

Services and website content are provided ‘as is’ without warranties of uninterrupted availability, error-free content, or suitability for any specific purpose.

21. Governing Law

These Terms are governed by the laws of the State of Michigan, United States. Any disputes shall be resolved exclusively in the appropriate courts located in Michigan.

22. Changes to Terms

KEEL may update these Terms & Conditions at any time. Continued use of the website or services after updates constitutes acceptance of the revised Terms.
